Terms of Service
Last updated: 2026-09-03
The agreement between you and the operator of Verity for use of the software, including eligibility, accounts, no legal advice, AI limits, content, billing interaction, and liability.
1. Acceptance
These Terms of Service (the “Terms”) are a legally binding agreement between you and [VERITY LEGAL ENTITY] (“we”, “us”, or “Verity’s operator”) for access to Verity (the “Service”).
You accept these Terms by creating an account and/or using the Service. During registration we require an explicit, un-prechecked acknowledgement that you agree to these Terms and acknowledge the Privacy Policy. We record the document version, timestamp, user, workspace when known, and related metadata described in the acceptance records.
If you do not agree, do not create an account or use the Service.
Optional marketing communications are never bundled into this mandatory acceptance. You may decline marketing and still use the Service.
2. Eligibility
You must have legal capacity to enter this agreement. The Service is intended for persons who can form a binding contract in their place of residence.
If you use Verity on behalf of a company, organization, or other entity, you represent that you have authority to bind that organization to these Terms. In that case, “you” includes that organization.
3. Account
You must provide accurate registration information and keep it current.
You are responsible for the security of your credentials and for activity under your account, except to the extent caused by our failure to maintain reasonable security measures.
Notify [LEGAL CONTACT EMAIL] promptly if you believe your account has been compromised.
Workspace administrators and owners may manage workspace membership, roles, and access. They cannot waive these Terms for other users.
4. Service description
Verity is an AI-powered contract analysis and decision-support tool. Depending on your plan and configuration, the Service may include:
- AI-assisted contract analysis
- document extraction from uploaded files
- legal-context comparison against available authoritative sources in a configured registry
- commercial and financial analysis of contract terms
- structured findings with evidence and source presentation
- workflow, workspace, and collaboration features where enabled
Verity helps you understand contracts, identify potential issues, compare provisions with available authoritative legal sources, surface commercial exposure, and organize questions for professional review.
Availability of legal sources varies by jurisdiction and by what is actually present in the configured source registry. Coverage is not universal. The Service does not determine whether a contract is “legal.”
5. No legal advice; no attorney-client relationship
Verity is a software tool and decision-support assistant.
Verity is not a law firm. Verity does not provide legal representation. Use of the Service does not establish an attorney-client relationship. Verity does not replace a licensed attorney or other qualified professional.
Analysis is informational and analytical. AI output can contain errors, omissions, incomplete interpretation, or outdated information. A source being displayed does not guarantee that a particular legal rule applies to your circumstances.
You remain responsible for decisions made using Verity, including whether to negotiate, sign, reject, or escalate a contract.
For material legal decisions, disputes, litigation, regulatory matters, signing important agreements, or any situation requiring legal advice, consult a qualified lawyer in the relevant jurisdiction.
Nothing in the Service is attorney-client privileged communications with Verity.
6. AI limitations
AI systems can make mistakes. Outputs must be independently reviewed before you rely on them.
Source retrieval may be incomplete. Legislation, regulations, and other authorities can change. Whether a historical rule applies can depend on dates, facts, and later amendments.
Absence of a source does not mean absence of a legal requirement.
The label “Legal context unavailable” means Verity did not establish sufficient authoritative support for that point. It must never be interpreted as “no law applies.”
Verity will not present a generic AI-generated statute as though it were authoritative legislation. Authoritative legal sources are shown only when they come from the configured source registry.
7. User content
You retain ownership of documents and other content you upload (“Customer Content”), including contracts.
We do not claim ownership of customer contracts.
You grant [VERITY LEGAL ENTITY] a limited, non-exclusive, worldwide license to host, process, analyze, display, secure, back up, and otherwise provide the Service with Customer Content, solely as needed to operate, maintain, secure, and improve the functioning of the Service for you (for example, extracting text, running analysis, showing results to workspace members, and creating backups).
This license ends when Customer Content is deleted from our systems, except for residual copies in backups or logs that are cycled in the ordinary course, or copies we must keep to meet a legal obligation.
You represent that you have the rights needed to upload and process Customer Content in the Service.
8. Confidentiality and data handling
We treat Customer Content as confidential and use it to provide the Service to your workspace, subject to these Terms, the Privacy Policy, and any Data Processing Addendum that applies.
We distinguish:
- Customer Content: uploaded contracts, extracted text, analysis results, and related document metadata
- Account information: name, email, login, workspace membership
- Service telemetry: technical logs, security events, and usage information needed to operate and protect the Service
- Aggregated or de-identified information: if we use it, it will not reasonably identify you or your documents
We do not claim that data is never retained. Retention depends on workspace settings (including whether original PDFs are kept), backup cycles, billing records, security logs, and legal obligations. See the Privacy Policy.
9. Prohibited use
You may not:
- use the Service unlawfully
- upload content you do not have rights to process
- attempt to compromise, disrupt, or overload the Service
- abuse APIs, scrape in violation of technical or contractual limits, or circumvent usage limits
- upload malware or harmful code
- share credentials or allow unauthorized access
- reverse engineer the Service except where that restriction is prohibited by applicable law
- use Verity to make automated high-impact legal, employment, credit, or similar decisions where prohibited or inappropriate without required human review
- generate fraudulent legal documents or impersonate lawyers or other professionals
The Acceptable Use Policy is incorporated into these Terms.
10. Intellectual property
[VERITY LEGAL ENTITY] and its licensors own the Service software, interface, branding, underlying technology, documentation, and other non-customer platform materials.
You retain Customer Content, subject to the limited license in section 7.
Feedback you voluntarily send may be used to improve the Service without obligation to you, but feedback is not a grant of your contracts or confidential deal terms.
11. Third-party services
The Service may rely on hosting, storage, authentication, payment, AI/model, analytics, email, and other infrastructure providers. Those providers process data as described in the Privacy Policy.
We name providers in the Privacy Policy only where they are actually used in the product. Their own terms apply to their services.
12. Availability
We do not guarantee uninterrupted, error-free, or always-available Service. Maintenance, failures, force majeure, and dependency outages may occur. Plans and usage limits may throttle or pause analysis when entitlements are exhausted.
13. Changes
We may update these Terms. Each published version has a document id, version, effective date, and status.
When a change is material, we will provide appropriate notice (for example in-product) and require renewed acceptance where required. Previous accepted versions are preserved in our records.
Continued use after a required re-acceptance screen, without accepting, is not permitted.
14. Suspension and termination
We may suspend or terminate accounts for violation of these Terms or the Acceptable Use Policy, non-payment, security risk, legal requirement, or prolonged inactivity.
You may stop using the Service and cancel a subscription as described in the Subscription & Billing Terms and the Refund/Cancellation Policy. Cancellation of a paid plan does not automatically delete Customer Content until you request account closure or we delete it under our retention practices.
15. Effect of termination
On termination or cancellation:
- account access may end at the end of the paid period or immediately, depending on how you cancel and on mandatory consumer law
- the subscription stops according to the billing terms
- we may retain or delete Customer Content as described in the Privacy Policy, including backups and legally required retention (for example invoices, security logs, or legal holds)
- if export is offered in the product at that time, you may export available results before deletion; the current product stores analysis in your workspace and does not currently advertise a separate bulk-export product, so availability of export should be confirmed in the application at the time of closure
16. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT ANALYSIS IS COMPLETE, ACCURATE, OR CURRENT.
We do not warrant that Verity is legally compliant in every jurisdiction, that findings are correct, or that a displayed source applies to you.
Nothing in these Terms excludes warranties or consumer guarantees that cannot legally be excluded. If you are a consumer, you may have non-waivable rights under the law of your country, including Israel where that law applies to you.
17. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, [VERITY LEGAL ENTITY] AND ITS SUPPLIERS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) FIFTY U.S. DOLLARS (US $50), EXCEPT WHERE A HIGHER MINIMUM IS REQUIRED BY LAW.
This limit does not apply to liability that cannot legally be limited, including (where such a carve-out is mandatory) liability for fraud, willful misconduct, or death or personal injury caused by negligence.
If you are a consumer entitled to mandatory protections, those protections prevail over this section.
18. Indemnification
If you are using the Service other than as a consumer to whom this clause is unenforceable, you will defend and indemnify [VERITY LEGAL ENTITY] against third-party claims arising from Customer Content, your unlawful use of the Service, or your violation of these Terms, to the extent the claim is caused by you.
This section does not require you to indemnify us for our own fraud or willful misconduct, or where indemnification is prohibited.
19. Governing law and disputes
These Terms are governed by [GOVERNING LAW], without regard to conflict-of-law rules that would choose another law, except that mandatory consumer-protection or privacy rules of your place of residence continue to apply where they cannot be waived.
Courts or other dispute venues: [COURTS / DISPUTE VENUE], unless mandatory law gives you the right to sue in another forum.
Operator identity for notices: [VERITY LEGAL ENTITY], registration [COMPANY REGISTRATION NUMBER], registered address [REGISTERED ADDRESS], legal contact [LEGAL CONTACT EMAIL].
20. General
If a provision is unenforceable, the rest remains in effect. We may assign these Terms in connection with a reorganization or sale of the Service. You may not assign without our consent, except to a successor that assumes your obligations.
These Terms, the Privacy Policy, Acceptable Use Policy, Subscription & Billing Terms, Refund/Cancellation Policy, Cookie Policy, and any Data Processing Addendum that applies, are the agreement for the Service.
